By accessing or using our services, you agree to be legally bound by these Terms. If you do not agree, you must not use our services.
1. Definitions
1.1 “Volts Consulting,” “we,” “us,” or “our” refers to the company providing services under this agreement.
1.2 “Services” include web design, web development, SEO, automation, consulting, and SaaS platforms such as Volts Engage and Volts Book.
1.3 “User” or “Client” refers to any individual or entity using our services.
1.4 “Project” refers to any custom service engagement, including website development, SEO campaigns, or automation setup.
1.5 “Subscription Services” refers to recurring service offerings, including website subscriptions, SaaS platforms, and ongoing marketing or SEO retainers.
2. Acceptance of Terms
2.1 By accessing or using our services, you confirm that you have read, understood, and agreed to these Terms.
2.2 These Terms apply to all users, clients, and visitors interacting with our services or platforms.
2.3 Continued use of our services after any updates constitutes acceptance of the revised Terms.
3. Service Description
3.1 Volts Consulting provides professional digital services, including website design and development, SEO, marketing automation, and SaaS platforms.
3.2 All services are delivered based on agreed scope, specifications, and timelines discussed prior to engagement.
3.3 We reserve the right to improve, modify, or discontinue any service, feature, or functionality at any time to maintain quality and performance.
3.4 We do not guarantee uninterrupted or error-free operation of our services.
4. Account Registration and Security
4.1 Users may be required to create an account to access certain services.
4.2 You agree to provide accurate, current, and complete information during registration and to update such information as needed.
4.3 You are solely responsible for maintaining the confidentiality of your account credentials.
4.4 You are responsible for all activities conducted under your account, whether authorized or not.
4.5 Volts Consulting shall not be liable for any loss or damage resulting from unauthorized access due to failure to secure your account.
5. Payment and Billing
5.1 All fees must be paid in accordance with the pricing agreed upon or listed on our website.
5.2 Subscription services are billed on a recurring basis (monthly, quarterly, or annually) depending on the selected plan.
5.3 By subscribing, you authorize Volts Consulting to automatically charge your chosen payment method for recurring payments.
5.4 Failure to make timely payments may result in suspension, restriction, or termination of services without prior notice.
5.5 We reserve the right to retry failed payments and recover outstanding balances.
5.6 All payments are non-refundable unless explicitly stated otherwise in writing.
5.7 Pricing may be updated periodically, and continued use of services constitutes acceptance of updated pricing.
6. Project Scope, Delivery, and Revisions (Web Design & Development)
6.1 All custom projects are executed based on a predefined scope agreed upon before work begins.
6.2 Any additional features, changes, or revisions beyond the agreed scope will be treated as additional work and billed accordingly.
6.3 Project timelines are estimates and depend on client responsiveness, approvals, and content delivery.
6.4 Delays caused by the client may result in extended timelines without liability to Volts Consulting.
6.5 Deliverables will be considered approved if no feedback is received within a reasonable timeframe.
6.6 We reserve the right to reuse non-client-specific design elements, frameworks, and systems across projects.
7. Website Subscription Model and Ownership
7.1 For subscription-based website services (including multi-year agreements), the client is granted a limited, non-transferable right to use the website during the active subscription period.
7.2 The client retains full ownership of all content they provide, including text, images, branding, and business data.
7.3 The design, structure, codebase, frameworks, systems, and underlying technology developed by Volts Consulting remain the exclusive intellectual property of Volts Consulting unless explicitly purchased.
7.4 Subscription pricing reflects access to the website as a service and does not constitute ownership of the underlying system.
7.5 If the client wishes to fully own the website design and code, a separate buyout fee will apply.
7.6 Upon cancellation before the agreed contract term (e.g., 4-year agreement), access to the website may be revoked unless a buyout is completed.
7.7 Volts Consulting is not obligated to transfer proprietary systems, templates, or frameworks without full compensation.
8. SEO and Marketing Services Disclaimer
8.1 SEO and marketing outcomes depend on external factors including competition, algorithms, and market conditions.
8.2 We do not guarantee specific rankings, traffic, or revenue results.
8.3 Any projections or timelines are estimates only.
8.4 Results vary significantly based on client cooperation and industry conditions.
8.5 Marketing Communications and Messaging
8.5.1 By using our website, services, or submitting your contact information, you agree to receive communications from Volts Consulting, including service updates and promotional messages, where permitted by applicable law.
8.5.2 Communications may be sent via email, SMS, WhatsApp, or similar channels based on the information you provide.
8.5.3 You may opt out of marketing communications at any time using unsubscribe links, message instructions (such as replying STOP for SMS where applicable), or by contacting us directly.
8.5.4 Transactional or service-related communications (including billing, account updates, and security notifications) may still be sent even if you opt out of marketing messages.
8.5.5 Clients using messaging or marketing services (including Volts Engage) agree to:
(a) Obtain proper and verifiable consent from recipients before sending communications,
(b) Comply with all applicable laws and communication regulations,
(c) Provide clear opt-out mechanisms where required,
(d) Maintain records of consent where legally necessary.
8.5.6 Volts Consulting does not monitor or verify consent obtained by clients and is not liable for misuse, spam complaints, delivery failures, or penalties imposed by third-party providers or regulatory authorities.
8.5.7 We reserve the right to restrict, suspend, or terminate messaging functionality in cases of misuse, excessive complaints, or policy violations.
9. Domain Ownership and Transfer
9.1 Clients retain ownership of domain names upon full payment of all outstanding dues.
9.2 Domains remain under our control until invoices are cleared.
9.3 A domain transfer may be requested upon cancellation.
9.4 A one-time Domain Transfer & Exit Processing Fee of $60 USD applies.
9.5 Transfers are processed only after payment and verification.
9.6 We are not responsible for delays caused by third-party registrars.
10. Content and Usage
10.1 You are solely responsible for all content published through our services.
10.2 You agree not to use our services for illegal, harmful, or fraudulent activities.
10.3 We reserve the right to restrict or remove content that violates these Terms.
11. Intellectual Property
11.1 Clients retain ownership of their original content.
11.2 Upon full payment, clients receive rights to final deliverables, subject to Section 7.
11.3 Volts Consulting retains ownership of all systems, frameworks, and SaaS platforms.
11.4 Unauthorized copying, resale, or reverse engineering is prohibited.
12. Third-Party Services
12.1 Our services rely on third-party providers.
12.2 We are not responsible for failures or policy changes of third-party services.
13. Data and Backup Disclaimer
13.1 We do not guarantee protection against data loss.
13.2 Clients are responsible for maintaining backups.
14. Service Availability
14.1 We do not guarantee uninterrupted service.
14.2 Downtime may occur due to maintenance or technical issues.
15. Limitation of Liability
15.1 We are not liable for indirect or consequential damages.
15.2 Liability is limited to the amount paid in the last 3 months.
16. Suspension of Services
16.1 We may suspend services for violations, risk, or non-payment.
17. Termination
17.1 Either party may terminate with notice.
17.2 We may terminate immediately for violations.
17.3 Data may be deleted after termination.
18. Indemnification
18.1 You agree to indemnify Volts Consulting against claims arising from your use of services.
19. Force Majeure
19.1 We are not liable for events beyond our control.
20. Minimum Commitment and Early Termination
20.1 Certain services may require a minimum contract period.
20.2 Early termination may result in remaining balance charges or termination fees.
20.3 Discounts are conditional on full contract completion.
21. Hosting and Infrastructure
21.1 Hosting environments remain under our control during service.
21.2 Access may be revoked upon cancellation.
21.3 We are not required to provide server-level access.
22. Support and Communication
22.1 Support is provided during business hours.
22.2 Response times are not guaranteed.
22.3 Priority support may be charged separately.
23. Client Responsibilities
23.1 Clients must provide required content and approvals on time.
23.2 Clients must ensure legal compliance of their content.
23.3 Delays caused by clients do not constitute breach by Volts Consulting.
24. Compliance with Laws and Platforms
24.1 Clients must comply with all laws and platform policies (including WhatsApp).
24.2 We are not liable for bans or penalties from third-party platforms.
25. Data Migration and Exit Requests
25.1 Data export may be provided where feasible.
25.2 Full system migration is not guaranteed.
25.3 Migration assistance may incur additional fees.
26. Resale and White-Label Restrictions
26.1 Clients may not resell or white-label services without permission.
27. Non-Solicitation
27.1 Clients may not hire or solicit our team without consent for 12 months after service.
28. Changes to Terms
28.1 We may update Terms at any time.
29. Governing Law
29.1 Governed by laws of India.
